Plain-language rules for launching, trading and posting on KRYVEX Launchpad. Please read them with the Risk Disclosure.
1. Who we are and this agreement
KRYVEX Launchpad (the "site") is operated by KRYVEX LLC ("KRYVEX", "we", "us"). These Terms are an agreement between you and KRYVEX about your use of the site, its API and the software behind them.
By connecting a wallet, signing in, launching a coin, trading, posting or otherwise using the site, you accept these Terms, our Privacy Policy and our Risk Disclosure. If you don't accept them, don't use the site.
2. Who can use the site
You must be at least 18 years old, or the age of majority where you live if that is higher.
You must not be a person or entity named on a sanctions list (for example those kept by the United States, the United Kingdom, the European Union or the United Nations), or located in, or ordinarily resident in, a country or region under comprehensive sanctions.
Prohibited jurisdictions. The site is not available to anyone located in, resident in, or incorporated in the United Kingdom, Cuba, Iran, North Korea, Syria, Russia, Belarus, Crimea, Sevastopol, the Donetsk region of Ukraine and the Luhansk region of Ukraine, or any other country or region under comprehensive US, UK, EU or UN sanctions. We block access from these places by IP address.
You must not use a VPN, proxy, location spoofing or any other means to get around these restrictions.
You are responsible for making sure that using the site, and trading the coins and tokens on it, is legal where you are. Some features, such as trading against tokenized stocks, may not be available to residents of some countries, including the United States.
We may block access from places, or by people, where we believe offering the site would break the law.
3. What the site is, and what it isn't
The site is software that helps you create and trade tokens on the Solana blockchain, using Meteora's Dynamic Bonding Curve and, after graduation, Meteora pools. It builds transactions; you approve and sign them with your own wallet, and they run on public blockchain programs we don't control.
We are not a broker, exchange, custodian, bank, investment adviser or fiduciary. We don't hold your coins or your money, and we can't reverse, cancel or refund a transaction once it is on the blockchain.
Coins launched here are created by users. Open Launch coins are not reviewed. A coin being on the site is not an endorsement by KRYVEX.
Nothing on the site is investment, legal, tax or financial advice.
4. Your wallet and account
You can use your own wallet (such as Phantom, Solflare or Backpack), or sign up with X, Google or email. When you sign up that way, a Solana wallet is created for you by our provider Privy (privy.io). Its key is split so that neither KRYVEX nor Privy can move your funds alone, and you can export the private key from your profile. Privy's own terms and privacy policy also apply to that wallet.
You alone are responsible for your wallet, its private key or recovery phrase, your X, Google or email account, and everything done with them. We can't recover lost keys or funds.
KRYVEX will never ask for your private key or recovery phrase. Anyone who does is a scammer.
If you lose access to the X, Google or email account you signed up with, you may lose access to that wallet unless you exported its key.
5. Launching a coin
When you launch a coin you are its creator and are responsible for it: its name, ticker, picture, description and links, and anything you say about it anywhere.
You must have the right to use what you upload, and it must not impersonate a person, company, brand or KRYVEX, or infringe anyone's rights.
You must not promise or suggest profits, returns, dividends or revenue, or present a coin as an investment, share, security or claim on any business.
Your coin's supply, curve, fee and fee model are written into its on-chain configuration at launch and can't be changed later, by you or by us.
We may hide any coin from the site, for example for impersonation, scams, illegal or hateful content, or breaking these Terms. Hiding only affects this site; the coin keeps existing on the blockchain.
6. Fees
Every trade of a coin launched here pays a trading fee set by its fee model (see Fees). Part of it goes to Meteora, part to KRYVEX, and the rest to the coin's creator, its holders and buyback & burn, as the model says. You also pay Solana network fees, and some launches pay small account rent. A higher, falling fee (the Sniper Shield) applies in a coin's first minutes, and a coin may add a volatility fee.
Fees are shown before you sign, are taken by the blockchain programs as the trade happens, and can't be refunded.
7. Creator payouts and holder payouts
Where a fee model sends part of the fees to a coin's creator or holders, or to buyback & burn, our automated keeper claims the fees and pays them out in rounds. The split is chosen by the coin's creator at launch and fixed in the coin's on-chain config; KRYVEX doesn't decide who is paid or how much, and doesn't fund payouts from its own money. These payments:
exist only if people keep trading the coin, and stop when they stop;
are made on a best-effort basis, may be delayed, and small amounts can wait until they are large enough to send;
go to wallets that meet the published conditions at the time of each round (for example a minimum share of the supply), and exclude pools and some addresses;
are not dividends, interest, profit sharing or any return on an investment, and give no rights in KRYVEX or any business;
must not be described by creators, or by anyone promoting a coin, as income, yield, passive income or a return for holding.
We may pause or change how payouts are processed for security, legal or technical reasons. Every payout is listed in the public Payouts ledger with its transaction.
8. Tokenized stocks and pre-IPO tokens
Some coins are paired with, or pay holders in, tokenized stocks (for example xStocks) or tokens that track private companies (for example PreStocks). These tokens are made and backed by third parties, not by KRYVEX.
Holding one is not owning the underlying share: it gives no voting rights, no shareholder rights, and no claim on the company it tracks. Its value depends on its issuer and the arrangements behind it.
Their issuers restrict who may hold or trade them, including in the United States. You are responsible for checking that you are allowed to, and we may block these features in some countries.
When a coin pays holders in a tokenized stock, that is still a share of the coin's trading fees (see above), paid in that token. It doesn't make you a shareholder of anything.
KRYVEX is not a broker, dealer or issuer of these tokens and doesn't give advice about them.
9. Profiles, threads and other content
You may add a username, picture and bio to your profile, follow other people, and post in coin threads. Your profile, posts, follows and likes are public.
You keep ownership of what you post, and give KRYVEX a worldwide, free licence to host, display and share it on and about the site.
Don't post spam, scams, phishing, links to fake airdrops or wallet drainers, hate, harassment, threats, sexual content, other people's private information, or anything illegal. Links aren't allowed in threads.
Anyone signed in can report a profile, post or coin. Moderators may remove content, hide a profile, reset a username or picture, or stop a wallet from posting, with or without notice.
10. Things you must not do
Manipulate markets: wash trading, spoofing, pump-and-dump schemes, or coordinated schemes to mislead other traders.
Launder money, finance terrorism, evade sanctions, or trade with stolen funds.
Attack, overload, scrape at scale, reverse-engineer for abuse, or exploit bugs in the site, its API or its keeper; please report bugs to us instead.
Impersonate others, or use automated accounts to flood threads, follows or reports.
Use the site in any way that breaks the law or these Terms.
11. Other services
The site relies on services we don't run, including the Solana network, Meteora's programs, Jupiter, Privy, X, Google, RPC providers and price-data providers. They can fail, change or stop, and their own terms apply. We aren't responsible for them.
12. No warranty, and limits on our liability
The site is provided "as is" and "as available", without warranties of any kind, including that it will be uninterrupted, error-free or secure, or that any price, balance, PNL figure or other information is accurate.
To the fullest extent the law allows, KRYVEX and its members, staff and partners are not liable for any indirect, incidental, special or consequential loss, or for any loss of funds, tokens, profits or data, arising from your use of the site, blockchain transactions, smart contracts, third-party services, or other users. Where liability can't be excluded, it is limited to the fees KRYVEX received from your own trades in the 12 months before the claim.
You agree to cover KRYVEX for claims and costs caused by your breach of these Terms or your misuse of the site.
13. Changes, suspension and ending
We may change these Terms; the date at the top shows the latest version, and using the site after a change means you accept it. We may change, suspend or stop any part of the site, and may restrict access for anyone who breaks these Terms. Coins, transactions and payouts already on the blockchain are not affected.
14. Governing law and contact
These Terms are governed by the laws of the place where KRYVEX LLC is registered. If any part of them can't be enforced, the rest still applies. Questions about these Terms: contact us through the contact details on kryvexllc.com.
